1. Scope
These General Terms and Conditions (GTC) apply to all contracts between Eventcrew AG, Grenzstrasse 6, 8280 Kreuzlingen (hereinafter referred to as "Eventcrew") and its customers (hereinafter referred to as "Customer") for the provision of personnel for events and other services.
2. Conclusion of Contract
The contract between Eventcrew and the Customer is concluded by the acceptance of an offer from Eventcrew by the Customer. The offer and acceptance can be made in writing, orally, or electronically.
3. Services
Eventcrew provides personnel for events and other services. The employees are employed, insured, and paid by Eventcrew.
4. Prices
The prices for the provision of personnel by Eventcrew are specified in the respective offer. All prices are in Swiss Francs and exclusive of VAT.
5. Payment
The invoice amount is due within 14 days of receipt of the invoice. In the event of late payment by the Customer, Eventcrew is entitled to charge default interest of 5.5% per year.
6. Personnel Booking, Poaching, Takeover
Personnel provided by Eventcrew are subject to a non-poaching agreement from the first assignment with the Customer. The Customer may neither employ the respective person directly, nor through third parties, nor have other persons referred by this person. A planned and agreed takeover can be arranged upon payment of a placement fee. It is only valid in written form, confirmed by an authorized signatory of Eventcrew to the Customer. In case of violation, the assignment will be charged as if the poached person had worked through Eventcrew. Additionally, a flat contractual penalty of CHF 10,000 per employee will be due, regardless of the employment level. This also applies to all referrals and recommendations by the poached person. Furthermore, this violation of the GTC or contract must be immediately rectified, and all assignments of the poached person must be billed through Eventcrew. This applies regardless of the payment of the assignment to Eventcrew and the contractual penalty. If the situation is not rectified after Eventcrew becomes aware of it, an additional contractual penalty of CHF 1,000 per day of assignment will be due. The non-poaching agreement is valid for 12 months from the last assignment with the Customer.
7. Authority to Issue Instructions
The employees of Eventcrew are always supervised, managed, and supported by our own organization. In this regard, there is no direct authority to issue instructions to our employed personnel, neither by the client nor by third parties.
8. Intellectual Property Rights
All rights to the products, services, and any trademarks belong to Eventcrew or are authorized for use by the owner. Neither these GTC nor related individual agreements involve the transfer of intellectual property rights unless explicitly stated. Furthermore, any reuse, publication, or disclosure of information, images, texts, or other materials received by the Customer in connection with these provisions is prohibited unless explicitly approved by Eventcrew. If the Customer uses content, texts, or visual material related to Eventcrew that is protected by third-party rights, the Customer must ensure that no third-party rights are violated.
9. Data Protection
Eventcrew may process and use the data collected during the conclusion of the contract to fulfill the obligations under the contract. Eventcrew takes the measures required by law to secure the data. The Customer fully agrees to the storage and contractual use of their data by Eventcrew and is aware that Eventcrew is obligated and entitled to disclose information about the Customer to courts or authorities upon request. Unless explicitly prohibited by the Customer, Eventcrew may use the data for marketing purposes and share it with its partners for advertising purposes. The data necessary for service fulfillment may also be shared with commissioned service partners or other third parties.
10. Changes
Eventcrew may change these GTC at any time. The new version takes effect upon publication on the website.
